Terms and Conditions of Wholesale Wings

I. Rules of cooperation
We invite business people engaged in the further resale of goods purchased from us to cooperate with us.
The customer gains access to the wholesale platform after creating an account and passing the verification process by Wings Ltd. The registration process is the same for wholesale and dropshipping customers.
The vendor reserves the right to refuse registration of a Customer's account if their business does not include resale of the wholesaler's assortment.
Verification is done on the basis of business activity data available in CEIDG or KRS.
After registration and acceptance of the account, the Customer receives a login and password, which allow access to the platform. Login data and information available on the platform, including prices, are confidential and cannot be shared with third parties.
Wings sp. z o.o. reserves the right to deny access to the wholesaler's platform without giving reasons and to modify the offer, prices and terms of cooperation.
The customer has the right to cancel the use of the wholesaler's platform by notifying the Seller.
II. Types of Customers and Discount System
Wholesale Customers
Wholesale customers have access to discounts depending on the value of the shopping cart, calculated automatically when placing an order.
Discount thresholds for wholesale customers:
From PLN 2,500 - 5% discount
From 5 000 zł - 8% discount
From 10 000 zł - 10% discount
From 40 000 zł - 15% discount
Dropshipping customers
Dropshipping customers can receive a refund (retrospective discount) depending on the monthly value of net purchases (excluding services):
Above PLN 10,000 - 3% refund
Above 15 000 zł - 5% refund
Above PLN 20,000 - 7% refund
Retrospective discounts are calculated at the beginning of the following month, taking into account only the products purchased (without additional services).
III. Wholesale Wings platform
Goods are visible to all users, but prices and availability appear only after registration and verification of customer account.
Wings Ltd. reserves the right to change prices, availability of goods and to carry out and cancel promotional actions.
Products covered by the special price do not combine with other discounts.
Placing an order by a customer is tantamount to an offer to purchase, which requires acceptance by Wings Ltd. The customer may also make an inquiry about a specific product.
All prices of goods are net prices (excluding VAT) and do not include shipping costs.
IV. Ordering
The customer places an order through the wholesaler's platform or by phone with an authorized representative of Wings Sp. z o.o.
By placing an order, the customer accepts the price of the goods specified in the order and agrees to receive and pay.
In the case of the sale of goods of limited quantity, the execution of orders is subject to availability and the order in which they are placed.
Adding products to the Cart is not tantamount to reserving them. Only the finalization of the order guarantees the reservation of products.
Placing an order guarantees the reservation of products for a period of no more than 7 days. After the specified reservation period, if the order is not paid or completed, Wings sp. z o.o. reserves the right to cancel the submitted order automatically.
V. Delivery and Payment
Delivery options
Shipping by GLS courier - the cost of one package is 16,26 PLN net.
Shipping on pallets - approximate price given on the site, and the final cost of transport is communicated via email or proforma invoice.
Special Conditions for Dropshipping Customers
“Own label” service: dropshipping customers can take advantage of the ‘own label’ service by sending a label that we will use for shipping. The cost of the service is 8 PLN gross.
Summary invoice: Dropshipping customers receive one summary invoice once a day for all completed orders.
VI. Payment Terms
Wholesale customers: prepayment or term of 7 days (if agreed).
Dropshipping customers: term of 7 days.
VII. Returns and Complaints
Damage protocol upon delivery
If the package with the goods is found to have been tampered with during delivery, a damage protocol should be drawn up immediately in the presence of the courier. This protocol is the basis for consideration of complaints related to damage caused during transport.
Reporting defects in goods
Any defects in the goods, which are not due to damage in transit, should be reported directly to Wings Sp. z o.o. via e-mail to: reklamacje@wingsbrand.com. Goods sold in the Wings Sp. z o.o. store are covered by the manufacturer's warranty, which means that the customer can take advantage of the warranty in case of defects.
Liability and complaint procedure
Wings Sp. z o.o. undertakes to provide the Customer with products free from defects. The Seller's liability for physical or legal defects (warranty) is governed by the provisions of the Civil Code (Articles 556-576).
As soon as the goods are handed over to the carrier, the benefits and burdens of the product and the risk of accidental loss or damage are transferred to the Customer who is not a Consumer.
The Customer who is not a Consumer is obliged to examine the shipment in the manner accepted for such shipments. In case of damage or loss, he should write a damage report in the presence of the courier.
Rules for reporting complaints depending on the type of order
Dropshipping customers: They are obliged to report defects, losses or quantity complaints within 14 days of receiving the goods.
Wholesale customers: Have the right to report complaints up to 90 days after receiving the goods.

Grounds for recognition of complaints
Wings Sp. z o.o. recognizes complaints regarding product defects including:
Mechanical damage to packaging, which was not the fault of the carrier, but was revealed immediately after unpacking.
Non-conformity of the goods with the order.
The product under complaint should be delivered with a completed complaint form and proof of purchase (or a copy thereof) to the address:

The customer shall bear the shipping costs of the advertised goods.
6 Complaint exclusions
Complaints are not subject to:
Factory features of the product.
Goods for which the manufacturer's warranty period has expired.
Mechanical damage that occurred after the goods were delivered to the Customer.
Natural traces of wear and tear, resulting from use.
Damage resulting from improper protection of the goods during return transportation from the Customer to the Claims Department.
Damage resulting from the actions of the carrier (in which case a complaint should be filed with the carrier).
7 Cases of rejection of complaints
The complaint will not be considered if:
The goods were not purchased from Wings Ltd.
The complaint shipment does not contain a complaint form and a detailed description of the defect.
Attempts to repair or modify the goods themselves are found.
(8) Entrepreneurs making purchases for purposes related to their business, but not of a professional nature for them, have the right to file a complaint on a basis similar to that of a consumer. Such customers may file a complaint within 14 days from the date of receipt of the goods by sending a notification to the e-mail address: reklamacje@wingsbrand.com. The application must be accompanied by a completed claim form and proof of purchase. Wings Sp. z o.o. undertakes to consider the complaint within 14 days from the date of receipt.
Wings Ltd. reserves the right to update these terms and conditions.
